1. Agreement to Terms

By accessing or using the VIER LABS website and services, you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you do not have permission to access our services.

VIER LABS provides digital systems design and development services, including but not limited to:

The specific scope, deliverables, and terms for any project will be outlined in a separate Service Agreement or Statement of Work between VIER LABS and the client.

3. Client Responsibilities

As a client, you agree to:

  • Provide accurate and complete information as required for the project
  • Respond to requests for information or feedback in a timely manner
  • Ensure you have the rights to any content you provide to us
  • Make payments according to the agreed schedule
  • Not use our services for any unlawful purpose

4. Project Engagement

4.1 Proposals and Agreements

All projects will begin with a proposal or agreement outlining the scope of work, timeline, deliverables, and pricing. Work will only commence after written acceptance from both parties.

4.2 Changes to Scope

Any changes to the agreed scope of work may affect the project timeline and cost. Such changes must be agreed upon in writing before implementation.

4.3 Revisions

The number of revision rounds included in any project will be specified in the project agreement. Additional revisions beyond the agreed number may incur extra charges.

5. Payment Terms

  • Payment terms will be specified in the project agreement
  • A deposit may be required before work begins
  • Invoices are due within the specified payment period
  • Late payments may incur interest charges and may result in work suspension
  • All payments are non-refundable unless otherwise agreed in writing

6. Intellectual Property

6.1 Client Materials

You retain ownership of all materials, content, and intellectual property that you provide to us for use in the project.

6.2 Deliverables

Upon full payment, you will own the final deliverables created specifically for your project. However, we retain ownership of:

  • Pre-existing materials and tools used in the project
  • General methodologies, processes, and techniques
  • Any work-in-progress materials until final payment

6.3 Portfolio Rights

Unless otherwise agreed in writing, we reserve the right to use completed work in our portfolio, case studies, and marketing materials.

7. Confidentiality

We will treat all client information as confidential and will not disclose it to third parties without your consent, except as necessary to provide our services or as required by law.

8. Warranties and Disclaimers

We strive to deliver high-quality work, but we cannot guarantee specific results or outcomes. Our services are provided "as is" without warranties of any kind, either express or implied.

We do not warrant that:

  • Our services will meet all your specific requirements
  • Our services will be uninterrupted, timely, or error-free
  • The results obtained from our services will be accurate or reliable

9. Limitation of Liability

To the maximum extent permitted by law, VIER LABS shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or in connection with our services.

Our total liability for any claims arising from our services shall not exceed the total amount paid by you for the specific project in question.

10. Indemnification

You agree to indemnify and hold harmless VIER LABS, its officers, employees, and agents from any claims, damages, or expenses arising from your use of our services or your violation of these Terms.

11. Termination

Either party may terminate a project engagement in accordance with the terms specified in the project agreement. In the event of termination:

  • Payment is due for all work completed up to the termination date
  • Any deposits paid are non-refundable unless otherwise agreed
  • We will provide you with any completed deliverables upon receipt of final payment

12. Website Use

When using our website, you agree not to:

  • Use the website in any way that violates applicable laws
  • Attempt to gain unauthorized access to our systems
  • Transmit any harmful code, viruses, or malware
  • Collect or harvest any information from our website
  • Interfere with the proper functioning of the website

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in India.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on this page and updating the "Last updated" date. Your continued use of our services after such changes constitutes acceptance of the new Terms.
